PORTAL TERMS AND CONDITIONS OF USE AND RELATED MATTERS

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THIS PORTAL

These terms tell you the rules for using our portal which is located here www.hts.group  (Portal).

These terms (together with the documents referred to herein) tell you the terms of use on which you may make use of our Portal we make available via any medium (Service), as a registered user only and no guest access will be provided or permitted. Please read these terms of use carefully before you start to use the Portal or any Service. By accessing the Portal or by using any Service, you indicate that you accept these terms of use and that you agree to abide by them. Where you are a medical professional or other third party using the Portal or any Service on behalf of another, you are binding that end-user as well as agreeing to be bound by these terms and the end-user is also agreeing to be bound by these terms. Any reference herein to ‘you’, ‘your’ or any similar references implying you as the customer or person requesting the goods and/or services from the Portal shall be deemed to include anyone placing an order for goods and/or services via the portal as well as any end-recipient of those goods and/or services as applicable. If you do not agree to these terms, do not access the Portal or use the Service.

Who we are and how to contact us

The Portal is owned and operated by Healthcare Tech Services Group Limited (we, us, our and any similar references). We are registered in England and Wales under company number 14817633 and have our registered office at 6 G/J Red Rose Court, Sunnyhurst Road, Blackburn, Lancashire, England, BB2 1PS. We are a limited company.

Our Objectives and Objectives of the Portal

Our objective and the objective of the Portal is to link you to the third-party medical providers of goods and/or services you require and which we partner with (Partner(s)) to allow you to purchase goods and/or services from said Partners and have them delivered to your chosen location as well as administered at your chosen location (as applicable).

We may, in our sole discretion, provide an element of the services you request from our Partner via the Portal, including but not limited to delivery of the goods you order, administration of said goods and/or services depending on those you require and are requested via the Portal and which cannot otherwise be fulfilled by the applicable Partner that accepts your request for goods and/or services.

When you order via the Portal you are ordering from a Partner and you are purchasing goods and/or services (as applicable) from one of our Partners. We therefore, act as an agent on behalf of that Partner to conclude your order from the Portal, to provide any element of the Services that our Partner requires us to (and which we have agreed with them separately we will do) and to manage your experience throughout the order process.  In plain terms, this means it’s our Partners’ responsibility to accept and complete your order, and we simply provide the platform that helps your order reach our Partner, conclude an order with our Partner and we may help our Partner to fulfil this as set out above. We take payment from you on behalf of our Partner. By using the Portal you are not concluding a contract with us but you are concluding a contract between yourself and the relevant Partner.

As set out above, depending on what you order via the Portal you may also be purchasing delivery or other services which we may perform, depending on what we agree with our Partner who you have a contact with as to what we are to perform. How these are provided depends on which party you are buying from: 

  • Delivery of your Goods can be arranged by us (Delivery), in which case your contract for Delivery is with us, and we will arrange delivery with you directly.
  • Sometimes, our Partner may require us to carry out further services to fulfill the full order for goods and/or services you have placed on the Portal and which is to be fulfilled by our Partner that has accepted that order. In this case, we will perform any element of the services that we agree to separately with the Partner as their agent.
  • Sometimes, delivery of your Goods will be arranged by our Partner, in which case you contract directly with the Partner for delivery services and we act as an agent on behalf of that Partner to conclude the transaction.

By using our Portal you accept these terms

By using our Portal, you confirm that you accept these terms of use and that you agree to comply with them.

If you do not agree to these terms, you must not use our Portal.

We recommend that you print a copy of these terms for future reference.

Accessing Our Service Or Our Services

Access to our Portal and to our Service is permitted on a temporary basis, and we reserve the right to withdraw or amend access to our Portal or our Service without notice (see below). You must be aged 18 or older to use our Portal and Service. We will not be liable if, for any reason, our Portal or our Service is unavailable at any time or for any period. From time to time, we may restrict access to some parts our Portal or our Service, or our entire Portal or Service to users who have registered with us. You are responsible for maintaining the confidentially of your login details and any activities that occur under your account. If you have any concerns about your login details or think they have been misused, you should contact info@hts.group straight away to let us know. We can deactivate your account at any time.

These terms of use refer to the following additional terms, which also apply to your use of our Portal:

  • Our Acceptable Use Policy https://www.naqcyber.com/, which sets out the permitted uses and prohibited uses of our Portal. When using our Portal, you must comply with this Acceptable Use Policy and any other provisions herein concerning acceptable use.

If you purchase goods or services from our Portal, the terms and conditions of supply of the applicable Partner that accepts your order via our Portal will apply or in the absence of these, our terms and conditions of supply [INSERT LINK] will apply to the sales which for the avoidance of doubt, will be conducted by our Partner with our acting as their agent as set out above, depending on the goods and/or services ordered by you via the portal and which are accepted by any Partner of ours as well as which element of this we agree separately with our Partner to provide on their behalf.

Policies, procedures, measures and tools

You may use our Portal only for lawful purposes. You may not use our Portal or our Service in any way that breaches any applicable local, national or international law or regulation or to send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards herein. You also agree not to access without authority, interfere with, damage or disrupt any part of our Portal or our Service or any network or equipment used in the provision of our Service.

We may from time to time provide certain features which allow you to interact through our Portal or our Service. Generally, we do not moderate any interactive service we provide although we may remove content in contravention of these terms as set out herein. If we do decide to moderate an interactive service, we will make this clear before you use the service and normally provide you with a means of contacting the moderator, should a concern or difficulty arise.

The following content standards apply to any and all material which you contribute to our Service (Contributions), and to any interactive services associated with it. You must comply with the spirit of the following standards as well as the letter. The standards apply to each part of any Contribution as well as to its whole. Contributions must be accurate (where they state facts), be genuinely held (where they state opinions) and comply with applicable law in the UK and in any country from which they are posted.   • be likely to deceive any person or be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence or promote any illegal activity;
  • be threatening, abusing or invading another’s privacy, or cause annoyance, inconvenience or needless anxiety or be likely to harass, upset, embarrass, alarm or annoy any other person;
  • be used to impersonate any person, or to misrepresent your identity or affiliation with any person or give the impression that they emanate from us, if this is not the case; or
  • advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.

We may make changes to these terms

We amend these terms from time to time. Every time you wish to use our Portal, please check these terms to ensure you understand the terms that apply at that time.

We may make changes to our Portal

We may update and change our Portal from time to time without notice to reflect changes to our products, our Partners, the goods and/or services offered, our users’ needs and our business priorities.

We may suspend or withdraw our Portal

Our Portal is made available free of charge.

We do not guarantee that our Portal, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our Portal for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.

You are also responsible for ensuring that all persons who access our Portal through your internet connection are aware of these terms of use and other applicable terms and conditions and that they comply with them.

Failure to comply with any provisions in these terms constitutes a material breach of these terms, and may result in our taking all or any of the following actions:

  • immediate, temporary or permanent withdrawal of your right to use our Service and Portal;
  • immediate, temporary or permanent removal of any posting or material uploaded by you to our Service and Portal;
  • issuing of a warning to you;
  • legal action against you including proceedings for reimbursement of all costs on an (including, but not limited to, reasonable administrative and legal costs) resulting from the breach;
  • disclosure of such information to law enforcement authorities as we reasonably feel is necessary.

The responses described in this clause are not limited, and we may take any other action we reasonably deem appropriate.

We may transfer this Agreement to someone else

We may transfer our rights and obligations under these terms to another organization. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract.

Our Portal is only for users in the UK

Our Portal is directed to people residing in the United Kingdom. We do not represent that content available on or through our Portal is appropriate for use or available in other locations.

You must keep your account details safe

If you choose, or you are provided with, a user identification code, username, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.

We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion, you have failed to comply with any of the provisions of these terms of use.

If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at info@hts.group.

How you may use material on our Portal

We are the owner or the licensee of all intellectual property rights in our Portal and in the material published on it as well as the Service. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

You may not print off, copy, download or otherwise obtain whatsoever, any page(s) from our Portal for your personal or commercial use.

You must not modify any materials within our Portal, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

Our status (and that of any identified contributors) as the authors of content on our Portal must always be acknowledged (except where the content is user-generated).

You must not use any part of the content on our Portal for commercial purposes without obtaining a license to do so from us or our licensors.

If you print off, copy, download, share or repost any part of our Portal in breach of these terms of use, your right to use our Portal will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

No text or data mining, or web scraping

You shall not conduct, facilitate, authorize or permit any text or data mining or web scraping in relation to our Portal or any services provided via, or in relation to, our Portal. This includes using (or permitting, authorizing or attempting the use of):

  • Any “robot”, “bot”, “spider”, “scraper” or other automated devices, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or republish any portion of the Portal or any data, content, information or services accessed via the same.
  • Any automated analytical technique aimed at analyzing text and data in digital form to generate information which includes but is not limited to patterns, trends and correlations.

The provisions in this clause should be treated as an express reservation of our rights in this regard, including for the purposes of Article 4(3) of the Digital Copyright Directive ((EU) 2019/790).

This clause shall not apply insofar as (but only to the extent that) we are unable to exclude or limit text or data mining or web scraping activity by contract under the laws that are applicable to us.

Do not rely on information on this Portal

The content on our Portal is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our Portal and/or any Service.

Although we make reasonable efforts to update the information on our Portal, we make no representations, warranties or guarantees, whether express or implied, that the content on our Portal is accurate, complete or up to date.

We are not responsible for websites or other portals we link to

Where our Portal contains links to other Portals and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or other portals or information you may obtain from them.

We have no control over the contents of those Portals or resources.

User-generated content is not approved by us

This Portal may include information and materials uploaded by other users of the Portal, including to social media pages, video-sharing Portals, bulletin boards and chat rooms. This information and these materials have not been verified or approved by us. The views expressed by other users on our Portal do not represent our views or values.

How to complain about or report content

If you become aware of any material that is illegal or could comprise or be connected to child sexual abuse or exploitation or could comprise terrorist content or be connected to terrorism, please contact us immediately on info@hts.group.

If you wish to complain about any other content, please contact us on report@hts.group.

Our responsibility for loss or damage suffered by you

Whether you are a consumer or a business user:

  • We have taken every care in the preparation of our Portal and our Service. However, we will not be responsible for any errors or omissions in relation to such content or for any technical problems you may experience with our Portal or our Service. If we are informed of any inaccuracies on our Portal or in our Service we will attempt to correct this as soon as we reasonably can. To the extent permitted by law, we exclude all liability (whether arising in contract, in negligence or otherwise) for loss or damage which you or any third party may incur in connection with our Portal, our Service, and any website linked to our Portal and any materials posted on it.
  • We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.
  • Different limitations and exclusions of liability will apply to liability arising as a result of the supply of any products to you, which will be set out in the terms and conditions of supply of the applicable Partner that accepts your order via our Portal or in the absence of these, our terms and conditions of supply [INSERT LINK].

If you are a business user:

  • We exclude all implied conditions, warranties, representations or other terms that may apply to our Portal or any content on it.
  • We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
  • use of, or inability to use, our Portal; or
  • use of or reliance on any content displayed on our Portal.
  • In particular, we will not be liable for:
  • loss of profits, sales, business, or revenue;
  • business interruption;
  • loss of anticipated savings;
  • loss of business opportunity, goodwill or reputation; or
  • any indirect or consequential loss or damage.

If you are a consumer user:

  • Please note that we only provide our Portal for domestic and private use. You agree not to use our Portal for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
  • If defective digital content that we have supplied, damages a device or digital content belonging to you and this is caused by our failure to use reasonable care and skill, we will either repair the damage or pay you compensation. However, we will not be liable for damage that you could have avoided by following our advice to apply an update offered to you free of charge or for damage that was caused by you failing to correctly follow installation instructions or to have in place the minimum system requirements advised by us.

Uploading content to our Portal

Whenever you make use of a feature that allows you to upload content to our Portal, or otherwise to place an order for goods and/or services (whether on your own behalf or on behalf of someone else) or to make contact with Partners other users of our Portal, you must comply with the content standards set out in our Acceptable Use Policy which can be viewed here: https://www.naqcyber.com/.

You warrant that any such contribution does comply with those standards, and you are liable to us and indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.

Any content you upload to our Portal will be considered non-confidential and non-proprietary. You retain all of your ownership rights in your content, but you are required to grant us and other users of our Portal a limited license to use, store and copy that content and to distribute and make it available to third parties.

We also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to our Portal constitutes a violation of their intellectual property rights or of their right to privacy.

We have the right to remove any posting you make on our Portal if, in our opinion, your post does not comply with the content standards set out in our Acceptable Use Policy which can be viewed here: https://www.naqcyber.com/.

You must not upload any material that could incite a terrorist offence, solicit any person to participate in terrorist activities, provide instruction on any method or technique for committing a terrorist offense or threaten to commit a terrorist offense.

Your rights to claim against us if we restrict access to your content

If we restrict access to any content you upload to our service in a way that breaches these terms of service, you have a right to bring a claim against us for breach of contract.

We will suspend your service if you frequently upload illegal content

  • If you frequently upload material that is clearly illegal, we may suspend your access to our service for a reasonable period of time. We will warn you in advance if we plan to suspend you. When deciding whether to suspend you, we will consider:
  • how many items of clearly illegal content you have uploaded within a given time frame in terms of the volume of other content uploaded by other users during that time;
  • the gravity of the misuse, including the nature of the illegal content and its consequences (potential or otherwise);
  • where possible to identify, your intention in posting the material.
  • If you frequently submit notices or complaints that are clearly unfounded, we may suspend the processing of any further notices or complaints from you for a reasonable period of time. We will warn you in advance if we propose to suspend the processing of your notices or complaints. When deciding whether to suspend you, we will consider:
  • how many items of clearly unfounded notices or complaints you submitted within a given time frame in terms of the volume of other notices or complaints submitted by other users during that time;
  • the gravity of the misuse;
  • where possible to identify, your intention in submitting the notices or complaints.

Your rights to claim against us if we suspend or ban your use of our service

If we suspend or ban you from using our service in a way that breaches these terms of service, you have a right to bring a claim against us for breach of contract.

Rights you are giving us to use material you upload

When you upload or post content to our Portal, you grant us the following rights to use that content:

  • a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform that user-generated content in connection with the service provided by the Portal and across different media including to promote the Portal or the service forever;
  • a worldwide, non-exclusive, royalty-free, transferable license for Partners, other users, partners or advertisers to use the content for their purposes or otherwise in accordance with the functionality of the Portal forever.

We are not responsible for viruses and you must not introduce them

We do not guarantee that our Portal will be secure or free from bugs or viruses.

You are responsible for configuring your information technology, computer programs and platform to access our Portal. You should use your own virus protection software.

You must not misuse our Portal by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorized access to our Portal, the server on which our Portal is stored or any server, computer or database connected to our Portal. You must not attack our Portal via a denial-of-service attack or a distributed denial-of-service attack. By breaching this provision, you would commit a criminal offense under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our Portal will cease immediately.

Rules about linking to our Portal

Where our Portal contains links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them

You may not link to our Portal.

You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

Our Portal must not be framed on any other Portal, nor may you create a link to any part of our Portal other than the home page.

We reserve the right to withdraw linking permission without notice.

Which country’s laws apply to any disputes?

If you are a consumer, please note that these terms of use, their subject matter and their formation, are governed by English law. You and we both agree that the courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are a resident of Scotland, you may also bring proceedings in Scotland.

If you are a business, these terms of use, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.
